1. Acceptance of Terms

By accessing or using the StockSolve website, software, or related services (collectively, the "Service") provided by StockSolve LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a veterinary practice, clinic, or other corporate entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service & No Affiliation

StockSolve is a data analytics and inventory optimization tool designed for veterinary practices. It processes CSV exports from Practice Management Software (PIMS) to calculate suggested Reorder Points (ROP), Economic Order Quantities (EOQ), and various financial and performance benchmarks based on the uploaded data.

No Affiliation: StockSolve LLC is an independent software provider. We are not endorsed by, sponsored by, or affiliated with the American Animal Hospital Association (AAHA), the Veterinary Hospital Managers Association (VHMA), or any other veterinary organization, distributor, or manufacturer.

Reference Data Sources: Any built-in reference data — such as supplier package sizes and typical clinical stocking defaults — is compiled solely from publicly available manufacturer labeling, openly published distributor catalogs, public industry standards, and general veterinary-management knowledge. It contains no pricing, vendor account, client, patient, or other confidential or proprietary information of any third party.

3. Subscriptions, Payments, and Lite Accounts

• Per-Location Licensing: Each subscription licenses StockSolve for a single physical practice location. Practices operating multiple locations require a subscription per location (multi-location pricing applies).
• Pre-Subscription Testing: Because our software relies on the specific formatting of your Practice Management Software (PIMS) exports, we strongly urge all prospective users to test their data using our free Lite Audit tool prior to purchasing a Pro Subscription. This ensures your data is compatible and catches any parsing errors before you commit financially.
• Lite Accounts: We offer a free "Lite" version of the Service. Lite accounts have restricted features, and we reserve the right to modify, suspend, or terminate Lite access at our sole discretion at any time.
• Pro Subscriptions: Premium features are available via paid subscriptions. By selecting a premium tier, you agree to pay all applicable fees via our designated payment processor (Lemon Squeezy).
• Renewals and Cancellations: Subscriptions automatically renew at the end of the billing cycle (monthly or annually) unless canceled prior to the renewal date. You may cancel your subscription at any time through your account settings.
• Refund Policy:
  • Monthly Subscriptions: All monthly subscription payments are strictly non-refundable.
  • Annual Subscriptions: If you cancel an annual subscription prior to the end of your term, you are eligible for a prorated refund based on the remaining full months of your subscription term. Please contact support to initiate this request.

4. Data Accuracy and Purchasing Liability

The accuracy of StockSolve's calculations relies entirely on the accuracy of the raw data (CSVs) you upload.

• Data Verification: You are solely responsible for verifying the accuracy, completeness, and formatting of the data you input.
• Purchasing & Reorder Hub Liability: StockSolve generates automated buy-sheets and reorder suggestions based on your data. These are mathematical models, not purchasing directives. You are solely responsible for verifying all quantities before submitting final purchase orders to your distributors (e.g., Covetrus, MWI, Patterson, Penn Vet) or direct manufacturers. StockSolve LLC is not liable for financial losses, excess inventory costs, expired goods, restocking fees, or clinical stock-outs resulting from purchases made based on our software's outputs.
• Clinical Safety Stock: You are responsible for ensuring critical, life-saving medications maintain adequate safety stock, regardless of mathematical suggestions provided by the Service.
• Financial Decisions: You are strictly responsible for reviewing and verifying all generated financial benchmarks before updating your PIMS software or making organizational financial decisions.

5. Intellectual Property

StockSolve LLC retains all right, title, and interest in and to the Service, including all software, design, logos, algorithms, and methodologies. You retain all rights to the raw data you upload. By using the Service, you grant us a limited, non-exclusive license to process your data locally to provide the Service, and to store your operational settings (Workflow Data) in the cloud as outlined in our Privacy Policy.

6. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. StockSolve LLC expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements, be uninterrupted, secure, error-free, or that mathematical calculations and benchmarks will prevent stock-outs or guarantee financial savings.

7. Limitation of Liability

To the maximum extent permitted by law, StockSolve LLC and its officers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of your use of the Service.

In no event shall our total liability to you for all claims related to the Service exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

8. Account Termination

We may suspend or terminate your account and access to the Service at any time, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Texas.
